Georgia APCO Quorum Resolution #2024-1

INTENT: To modify Chapter Bylaws and Policy Manual governing documents.
MAKER: Georgia APCO Board of Officers.
WHEREAS (1), the current Georgia APCO Bylaws and Policy Manual recommended updates and changes address the ex-officio positions, board diversity, and board officer candidacy; and,
WHEREAS (2), Such provisions of the governing documents require approval by the Quorum. Now, therefore be it,
RESOLVED, that the modifications to the Chapter Bylaws and Policy Manual documents shall be replaced with the attached information (document titled Proposed Georgia APCO Bylaws and Policy Manual Changes Spring 2024).

Bylaws
SECTION 5.1: Composition
Current:
(d) The State Frequency Advisor, who shall serve in an ex-officio capacity;
(e) The Executive Director of the Georgia Emergency Communications Authority, who shall serve in an ex-officio capacity.
Proposed:
Removal of subsections (d) and (e).
Georgia APCO Board of Officers shall not simultaneously serve as a board officer for any other Georgia Chapter 911 professional organization.

SECTION 5.3: Ex-officio Status
Current:
Section 5.3 Ex-officio Status. Members of the Board of Officers who serve in an ex-officio status are members of the board by virtue of the office they hold within State Government and are not elected by the Quorum. These Board members have all the same rights as any other Board member subject to the individual satisfying all other eligibility criteria for a position on the Board of Officers.
Proposed:
Removal verbiage of this section and replace Section 5.3 with Board Diversity proposal.


SECTION 5.3: Board Diversity
Proposed:
Section 5.3 Board Diversity. To promote diversity on the board from different agencies within Georgia, no more than one (1) person from the same employer shall serve on the board at the same time.

Current:

SECTION 5.4: OFFICER CANDIDATES
Current:

2.1 This should be done in the form of a letter of intent to the Chapter President, along with a letter of support from their agency and department head, if applicable.
Proposed:
2.1 This should be done in the form of a letter of intent to the Chapter President, along with a letter of support from their agency and department head, if applicable. The letter of intent shall include affirmation that the prospective nominee is not a current board officer of any other Georgia Chapter 911 professional organization.
